1. About Hydramatics
Hydramatics Control Equipment (Pty) Ltd ("Hydramatics", "we", "us", "our") is a South African distributor of electro-pneumatic and fluid-control components. We are registered in South Africa with company registration number 1993/019504/23, VAT number 4620103137, with our registered address at 15 Village Crescent, Linbro Business Park, Frankenwald, Sandton 2065.
These Terms apply to business customers placing orders through our website, telephone, email, or in person. They also apply to anyone using this website. Nothing in these Terms affects statutory rights under South African consumer protection laws.
"Goods" means the pneumatic and instrumentation products we supply, primarily manufactured by Camozzi Automation (Italy) and Hy-Lok Korea. "Services" means engineering, panel-build, retrofit, commissioning, or workshop work we perform alongside the supply of Goods. "Customer", "you", "your" means the person or entity placing an order or using this website.
2. Website conditions of use
2.1 Intellectual property
All content on this website – text, graphics, logos, icons, images, audio, downloads, software, data compilations – is the property of Hydramatics, its suppliers, or its licensors and is protected by South African and international intellectual-property laws. You may not reproduce, copy, distribute, modify, publish, transmit, or create derivative works from our site content without prior written consent, except for personal or internal business use.
Camozzi and Hy-Lok logos and product imagery used on our site are reproduced under our distributor agreements with those manufacturers and remain the property of the respective brand owners.
2.2 Acceptable use
You agree not to:
- Use the site for any unlawful, fraudulent, or harmful purpose
- Transmit or upload viruses, malware, or any other harmful material
- Attempt to gain unauthorised access to any part of our site, server, or network
- Use automated scripts or bots to collect information from our site for commercial purposes without permission
- Impersonate any person or entity or misrepresent your affiliation
- Harvest or otherwise collect data about other users without their consent
2.3 Third-party links
Our site may contain links to third-party websites. These are not endorsements; we do not control or guarantee the content or privacy practices of those sites. We are not liable for any loss or damage arising from your use of third-party sites.
2.4 Disclaimer
Although we strive to ensure the accuracy of information on our site, it is provided "as is" without representations or warranties, express or implied. We do not warrant that functions, content, or downloads will be uninterrupted, error-free, or free of viruses. Your use of the site is at your own risk.
3. Quotes and pricing
- Written quotations remain valid for 30 calendar days from the date of issue unless stated otherwise.
- All prices are quoted in South African Rand (ZAR) and exclude VAT, customs duties, delivery charges, and insurance unless expressly stated.
- VAT is added at the prevailing rate (currently 15%) on orders delivered within South Africa.
- Prices on imported products may fluctuate with exchange rates. If the Rand moves more than ±2% between quotation and order confirmation, we reserve the right to adjust pricing accordingly.
- Online-store prices are real-time and subject to update without notice. The price displayed at checkout is the binding price for that order.
- We may correct obvious errors in price or description. If discovered after acceptance, orders may be cancelled with refunds issued.
4. Orders and contract formation
- Purchase orders constitute an offer to buy products or services. A binding contract forms only when an Order Confirmation is issued specifying price, quantities, and delivery date.
- For online-store orders, a binding contract forms when we send a confirmation email after successful payment.
- Each accepted order is a separate contract.
- We may decline orders for stock unavailability, credit concerns, export restrictions, regulatory compliance, or pricing errors.
- Once an Order Confirmation is issued, orders cannot be cancelled or amended except as permitted under our Shipping & Returns Policy.
5. Payment
5.1 Accepted payment methods
- Electronic Funds Transfer (EFT) – payment to the bank account specified on the invoice. We will never ask you to change banking details by email. If you receive any email instructing you to pay into a different account, phone us on +27 11 608 1340 to verify before paying.
- Credit or debit card – Visa, Mastercard, and other major cards accepted via the secure Paystack gateway. Card details are processed by Paystack and not stored by Hydramatics.
- Mobile payments – Ozow or SnapScan may be accepted on request.
- Trade credit – approved account holders may pay on 30-day end-of-month (EOM) terms. Credit applications should be directed to accounts@hydramatics.co.za.
5.2 Deposits on special orders
For custom-manufactured or special-order items, a non-refundable deposit of 50% may be required at the time of order. The balance is payable before dispatch or collection. Deposit invoices must be settled within 7 days of issue to avoid delays.
5.3 Late payments
- All payments must be made without set-off or deduction.
- If any amount is not paid by the due date, all outstanding amounts become immediately due and payable.
- Interest may be charged on overdue amounts at the prime lending rate plus 2% per annum, calculated daily until payment is received.
- We may suspend deliveries, cancel unfulfilled orders, and withdraw credit facilities.
- Customers are liable for all recovery costs, including legal fees on an attorney-and-client scale.
5.4 Billing disputes
If you believe an invoice is incorrect, notify accounts@hydramatics.co.za in writing within 7 days of the invoice date, providing details and supporting evidence. Disputed amounts remain payable for undisputed portions while investigation occurs. Failure to notify within this period constitutes acceptance of the invoice.
6. Delivery, risk, and title
- Detailed delivery terms are set out in our Shipping & Returns Policy.
- Unless otherwise agreed in writing, goods are supplied EXW (Ex Works) Johannesburg.
- Risk of loss or damage passes to you when goods are dispatched to your carrier or collected by you or your agent.
- Title in the goods remains with Hydramatics until we have received payment in full (including VAT, delivery charges, and any interest). If payment is overdue, we may repossess goods, and you authorise our entry onto premises for this purpose.
- Delivery dates are estimates, not guarantees. We are not liable for consequential loss arising from delayed delivery.
7. Suitability and fitness for purpose
Where we make a recommendation or provide a specification, we do so in good faith based on the information you provide. The Customer remains responsible for verifying that the Goods are suitable for the intended application, including:
- Operating pressure, temperature, and flow conditions
- Chemical compatibility of seals, body materials, and lubricants
- Regulatory and certification requirements (ATEX, FDA, EHEDG, etc.)
- Mechanical interfacing and mounting compatibility
We strongly recommend that final specification, installation, and commissioning be undertaken by suitably qualified personnel.
8. Warranty
Detailed warranty terms are set out in our Warranty & Service Policy. Summary:
- Hydramatics-manufactured products are warranted free from material defects for 3 months from the date of dispatch.
- Third-party products are covered by the applicable manufacturer's warranty, typically 12 months or as otherwise specified.
- Workshop repairs and service work carry a 3-month workmanship warranty.
- Warranty excludes wear-and-tear, misapplication, modification, and use outside product specifications.
- Warranty claims must be lodged with us, not directly with the manufacturer.
9. Returns
Detailed return terms are set out in our Shipping & Returns Policy. Summary:
- Standard stock items may be returned within 10 business days of delivery if unused, undamaged, and in original packaging. A 15% restocking fee may apply.
- Custom-manufactured, special-order, cut-to-length, clearance, and hygiene-critical items are non-cancellable and non-returnable (NCNR) except where faulty under warranty or not supplied as described.
- Warranty returns are handled per the Warranty & Service Policy.
10. Consumer rights (CPA)
Nothing in these terms is intended to limit your rights under the Consumer Protection Act, 2008 ("CPA") where the CPA applies to your transaction. Most of our customers are juristic persons with an annual turnover exceeding the CPA threshold, in which case the CPA does not apply. Where you are a "consumer" within the meaning of the CPA, your statutory rights are in addition to those described here.
11. Limitation of liability
To the maximum extent permitted by South African law (and except where excluded by the CPA):
- Our total liability to you under any order shall not exceed the invoice value of the Goods supplied under that order.
- We exclude liability for any indirect, special, or consequential loss (including loss of profit, production, business, or goodwill) arising out of or in connection with the supply of goods or services.
- We do not exclude or limit liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot lawfully be excluded under South African law.
12. Force majeure
We are not liable for delay or failure in performance caused by events beyond our reasonable control, including acts of God, war, riot, strike, lock-out, pandemic, load-shedding, shortage of labour or materials, explosion, fire, flood, port congestion, breakdown of plant or machinery, and civil unrest.
13. Export compliance and sanctions
You warrant that you will not use, resell, or supply any goods in breach of South African export-control laws or applicable international sanctions. You are responsible for obtaining all necessary licences, permits, and customs clearances. We may refuse to supply or cancel orders without liability if doing so would breach any applicable sanction, embargo, or trade restriction.
14. Confidentiality
Drawings, specifications, and commercial terms exchanged between us are treated as confidential. We will not share your technical or commercial information with third parties except as necessary to fulfil your order, or as set out in our Privacy Policy.
15. Online store specifics
Orders placed through our online store (store.hydramatics.co.za) are subject to additional terms specific to that platform:
- Payment is processed by Paystack. Card details are held by Paystack under PCI-DSS standards; we do not store card details.
- Order confirmation is sent by email upon successful payment.
- Delivery is to the address you provide; please verify before submitting the order.
- If stock is found to be unavailable at picking, we will contact you within one business day to confirm whether to wait for restock, swap for an equivalent, or refund.
16. Governing law and jurisdiction
- These Terms are governed by the laws of the Republic of South Africa.
- Any disputes arising out of these Terms, any order, or your use of the website shall be resolved by the courts of Johannesburg, Gauteng, which have exclusive jurisdiction.
- Before commencing proceedings, the parties shall attempt to resolve disputes through good-faith negotiation.
17. Changes to these terms
We may update these terms from time to time. The "Last updated" date at the top of this page reflects the most recent change. Orders placed before a change are subject to the terms in effect at the time of order acceptance. By continuing to use the website or place orders after revisions are posted, you accept the revised terms.
